Definition of Headquarters Employee Members according in accordance with article 7.2 of the articles of association dated 12 may 2025:

“”7.2. Headquarters Employee Members

If an associate member enters the service of the MSF-Luxembourg association under a fixed-term or open-ended employment contract, and is thereby subject to the authority and oversight of the MSF-Luxembourg Board, they become a headquarters employee member.

Headquarters employee members are considered to be adherent members of the association, holding the same rights granted by Article 7.1 of these statutes to associate members of the association, unless otherwise stipulated in these statutes.

By exception to the previous paragraph, and to avoid any conflict of interest, headquarters employee members do not have the same rights as associate members of the association in the following cases:

  • Headquarters employee members with less than five years of continuous service with MSF-Luxembourg do not have voting rights equal to those of associate members at the General Assembly when it comes to voting on the election of Board members;
  • Headquarters employee members are not allowed, either personally or by proxy from an associate member, to participate in the General Assembly vote concerning the discharge of the Board members regarding the so-called moral and financial reports;
  • Headquarters employee members are not allowed to vote, either personally or by proxy from an associate member, on the approval of the budget and financial accounts presented at the General Assembly;
  • Headquarters employee members are not allowed to submit their candidacy for election to, or to be appointed as, members of the Board of Directors.

Headquarters employee members, regardless of their length of service with MSF-Luxembourg, have the right to propose the addition of items to the agenda of General Assemblies, provided they gather signatures from members amounting to at least one twentieth of the total membership of the association.

The loss of any of the cumulative conditions required to qualify as a headquarters employee member immediately results in the loss of all rights attached to that status.”
